Acknowledgment

These Terms of Service ("Terms") govern your access to and use of the Service and constitute a binding agreement between you ("You") and the Company.

By accessing or using the Service, You acknowledge that You have read, understood, and agree to be bound by these Terms. If You do not agree with any part of these Terms, You may not access or use the Service.

You represent that You are at least 18 years old or have the legal capacity to enter into a binding agreement in your jurisdiction. The Service is not intended for individuals under 18.

Your use of the Service is also subject to our Privacy Policy.

User Accounts

To use certain features of the Service, you may be required to create an account and authenticate via a third-party provider (e.g., Google OAuth).

You agree to provide accurate, complete, and up-to-date information during registration and to keep this information current. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

The Company reserves the right to suspend or terminate your account if we suspect any fraudulent activity, violation of these Terms, or misuse of the Service.

Subscription Plans

The Service offers both free and paid subscription plans. By selecting a paid plan, you agree to pay the applicable fees and taxes, and to abide by the usage limits defined in your selected plan.

Free Plan (“Basic”): This plan is free of charge and includes limited access to the Service (e.g., 5 AI responses per month, 1 business location).

Paid Plans (“Startup” and “Pro”): These plans are billed monthly and renew automatically unless cancelled before the next billing cycle. Features include increased response limits, multiple business locations, tone customization, sentiment analysis, and priority support.

All plans are non-binding (no contract commitment). You may cancel or change your plan at any time via your account settings. No refunds are issued for partial months.

The Company reserves the right to update pricing, features, or limits with prior notice. Continued use after changes constitutes acceptance.

Offers, Promotions, and Sweepstakes

From time to time, the Company may offer special promotions, discounts, contests, giveaways, or sweepstakes (“Promotions”). These may be subject to separate terms od service, which will be provided to you at the time of the promotion.

If there is a conflict between these Terms and the terms of a Promotion, the specific Promotion terms will prevail.

The Company reserves the right to cancel or modify Promotions at any time, without prior notice, in accordance with applicable law.

Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to misuse the Service or attempt to access it in any unauthorized way.

Prohibited uses include, but are not limited to: violating any law or regulation, transmitting false or misleading information, or attempting to interfere with the functionality of the Service.

Intellectual Property

The Service and all content, features, and functionality including but not limited to text, graphics, logos, icons, images, and software are the exclusive property of the Company and are protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service or its content without the Company’s prior written permission.

“ProReply AI” and its logo are registered or unregistered trademarks owned exclusively by the Company. Unauthorized use of these trademarks is strictly prohibited.

User Feedback

If You choose to submit comments, suggestions, or feedback regarding the Service, You agree that the Company is free to use such feedback without any restriction or obligation to You.

The Company shall own all rights, titles, and interests in and to the feedback, and You waive any claim of compensation or attribution.

Links to Other Websites

The Service may contain links to third-party websites or services that are not owned or controlled by the Company.

The Company assumes no responsibility for the content, privacy policies, or practices of any third-party sites. You acknowledge and agree that the Company shall not be held liable, directly or indirectly, for any damage or loss caused by the use of or reliance on any such content or services.

We encourage You to read the terms of service and privacy policies of any third-party sites You visit.

Termination

We may terminate or suspend Your access to the Service immediately, without prior notice or liability, if You breach these Terms or misuse the Service.

Upon termination, Your right to use the Service will cease immediately. Some provisions of these Terms may survive termination, including but not limited to ownership provisions, warranty disclaimers, and limitations of liability.

Limitation of Liability

To the maximum extent permitted by applicable law, the Company’s total liability under these Terms for any claim shall not exceed the greater of one hundred U.S. dollars (USD 100) or the amount actually paid by You through the Service in the twelve months preceding the event giving rise to the claim.

In no event shall the Company be liable for any indirect, incidental, special, punitive, or consequential damages, including but not limited to loss of profits, loss of data, business interruption, or reputational harm, even if the Company has been advised of the possibility of such damages.

You acknowledge that any AI-generated content (including suggested replies) is provided "as-is" and that You remain solely responsible for reviewing and validating such content before publication or use.

“AS IS” and “AS AVAILABLE” Disclaimer and AI Responsibility

The Service is provided to You “AS IS” and “AS AVAILABLE” and with all faults and defects, without warranty of any kind.

To the maximum extent permitted under applicable law, the Company expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

The Company does not warrant that the Service will be uninterrupted, error-free, or produce accurate or reliable results. Any AI-generated responses are provided as suggestions only and should be reviewed by the user before use or publication.

You agree to use the Service at your own risk, and you are solely responsible for any decisions or actions taken based on AI-generated content.

Governing Law

These Terms shall be governed and construed in accordance with the laws of France, without regard to its conflict of law principles.

Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts located in Paris, France.

Dispute Resolution

If You have any concern or dispute related to the Service, You agree to first attempt to resolve the issue informally by contacting the Company at contact@proreplyai.com.

We will make reasonable efforts to respond and resolve the issue in good faith before any formal legal proceedings are initiated.

For European Union (EU) Users

If You are a consumer residing in the European Union, You are entitled to the benefit of any mandatory provisions of the law of the country in which You are resident. Nothing in these Terms shall affect Your rights as a consumer under local law.

United States Legal Compliance

You represent that You are not located in a country subject to a U.S. government embargo or designated as a “terrorist supporting” country, and You are not listed on any U.S. government list of prohibited or restricted parties.

Severability and Waiver

Severability

If any provision of these Terms is held to be unenforceable or invalid, that provision will be modified and interpreted to accomplish the objectives of the original provision to the greatest extent possible under applicable law, and the remaining provisions shall continue in full force and effect.

Waiver

The failure by the Company to enforce any provision of these Terms shall not be considered a waiver of its right to enforce such provision at any time in the future.

Translation Interpretation

These Terms may have been translated into other languages for your convenience. In the event of a dispute or inconsistency, the original English version shall prevail and be considered the official and binding version.

Changes to These Terms of Service

We reserve the right to modify or replace these Terms at any time, at our sole discretion. If a revision is material, we will provide at least 30 days’ notice prior to the new terms taking effect.

By continuing to access or use the Service after those revisions become effective, You agree to be bound by the updated Terms. If You do not agree to the new terms, in whole or in part, please stop using the Service.
